Affiliate Marketing and Promotional Guidelines

Effective: June 1, 2015
  1. Unacceptable Activities.  You, and any third party distribution partners that you may contract with (collectively, “You” or “Your”) to promote the CompuClever software products (the “Software”), may not misrepresent the nature or purpose of the Software, circumvent any efforts to block the download, installation or execution of the Software, or allow the Software to be bundled with any material violating the restrictions in this guidelines.  In addition, Your website and/or any of Your applications made available through Your website may not include or do any of the following:
    1. Adware/Spyware;
    2. P2P file-sharing/Torrent;
    3. Mechanisms to circumvent copyright protection (DVD duplicators, unauthorized emulators, etc.); 
    4. Adult content (pornography, nudity);
    5. Gambling;
    6. Violent or obscene media (including games);
    7. Hacking, surveillance, interception or descrambling;
    8. Defamatory, libelous, threatening or other material that advocates against any individual or group;
    9. Promotion or sale of any of the following:
      1. Firearms, weaponry, ammunition, fireworks or explosives;
      2. Illegal or questionable drugs, and drug paraphernalia;
      3. Fake, counterfeit, bootleg or stolen items;
      4. Government IDs or police items (badges, uniforms, etc.); 
      5. Hazardous substances;
      6. Products and/or services that violate any applicable laws, rules, and regulations;
      7. Tobacco;
      8. Alcohol; and
      9. Prescription drugs
    10. Content that violates or infringes upon any third party copyright, trademark, or other intellectual property rights;
    11. Software that violates or encourages any activity that would otherwise violate any applicable laws, rules, or regulations;
    12. Software that contains viruses, worms, Trojan horses, or any other malware or destructive code;
    13. Software that engages in or performs illegal, misleading, deceptive, harmful, harassing, or otherwise annoying practices, or practices intended to degrade the speed or overall quality of an end user’s experience (in each case, as determined by CompuClever in its sole discretion);
    14. Send unsolicited computer information or material to others;
    15. Access, hijack or otherwise use the computer’s modem or internet connection or service, and thereby causing damage to, the computer or causing the owner or authorized user, or a third party defrauded by such conduct, to incur charges or other costs that are not authorized by the owner or user;
    16. Use the computer as part of an activity performed by a group of computers that causes damage to another computer;
    17. Deliver advertisements that cannot be closed without turning off the computer or closing all other sessions of the internet browser;
    18. Use hacking software in order to gain administrative-level access to a computer and use it in an unauthorized manner;
    19. Modify the security or other settings that protect user privacy or otherwise cause damage to the normal operation of the computer;
    20. Collect Personally Identifiable Information through the use of a keystroke logging function (e.g., storing username and password);
    21. Induce the user to provide Personally Identifiable Information by intentionally misrepresenting the identity of the person seeking the information;
    22. Misrepresent the nature or purpose of the Software download; and
    23. Remove, disable, or render inoperative any security, anti-spyware or anti-virus technology installed on the computer.
    24. Take any action inconsistent with CompuClever’s ownership of the Software and any applicable trademarks. You agree that any benefits accruing from use of such trademarks shall automatically vest in CompuClever. You may not modify for public display any advertising materials, logos, graphics, or trademarks, except upon receiving CompuClever’s prior written approval.
  2. Transparency.
    1. You may not mislead end users or create end user confusion with regard to the source or owner of any software or any portion of its purpose, functionality or features.
    2. Advertisements (if any) provided by or within the software must be designated as such and clearly identify the source of such advertisements.
    3. Your website may not under any circumstance (1) misrepresent the purpose of the software download, (2) force or direct the (potential) end user to install other third party Software; (3) condition the installation of a download of the Software on the acceptance of the installation of another download; (4) offer unrelated services, products or other benefit as an incentive to download or install the Software.
    4. If Your website collects personally identifiable information, upon the first occurrence of any such collection, You fully, accurately, clearly and conspicuously disclose:
      1. the type of information collected (described with specificity in the case of Personally Identifiable Information);
      2. the method of collection (e.g., by registration, etc.);
      3. the location of (i.e., a link to) the privacy policy that governs the collection, use and disclosure of any personally identifiable information; and
      4. obtains (and archives for future reference) the end user’s affirmative consent to such collection and/or transmission.
    5. If the word and term “free” is being used on Your web page or any applicable landing page, You must add a disclaimer explaining how the product/service is being made available to end users for “free”, the duration of how long the product/service will be made available for “free”, and if certain actions must be taken by the end user (ex: download software or download additional third party software, submitting a form with certain information requested, or purchasing a product or service) in order for the product/service to continue to be available for “free” to the end user.
  3. Product Endorsements, Claims & Testimonials. If any product endorsements, claims and/or testimonials are being used and displayed on Your web site, You must adhere to the following terms and conditions:
    1. Product endorsements, claims and/or testimonials must reflect the honest opinions, findings, beliefs or experience, and results of the individual(s) making the endorsement, claim and/or testimonial. Furthermore, any endorsement, claim and/or testimonial may not convey any express or implied representation that would be deceptive or otherwise contradict any express or implied representation that is made directly from the manufacturer of the product.
    2. If celebrity photographs, endorsements, claims and/or testimonials are being used and displayed on Your web site, You represent and warrant that You have documented authorizations in Your possession to substantiate the use of such celebrity photographs, endorsements, claims and/or testimonials displayed on Your web site.
  4. Search/Keyword Policy.
    1. You may not outbid CompuClever in Search Engine Marketing, i.e. Your ads may not have a higher ranking than an official CompuClever listing.
    2. You may not direct traffic from any search engine directly to any CompuClever landing page URL. All traffic must be directed through Your own intermediary site, and our URLs must not be used as the “Display URL” in Your ad copy, nor be in the title or description of Your ad.
    3. You may not cause our ad creatives to be displayed through downloadable applications that cause advertisements to pop up outside of the use of the application (adware) or that collects information about users and their behavior on the internet (spyware). You may not engage in pop-up or pop-under advertising using any means involving third party software or websites. Pop up/unders delivered through downloadable software cannot engage in means that force clicks or perform redirects, or pop over a pay-per-click listing or natural search results. You may not display our ad creatives using any device, program, robot, Iframes, or hidden frames unless otherwise approved in writing by CompuClever.

The information that has been provided above is meant to serve as a general guideline for You to adhere to, in addition to any other guidelines and policies that You may be required to agree to as a member of the CompuClever Affiliate Marketing Program. Your failure to follow these guidelines may result in the termination of any agreements that You may have with CompuClever and the forfeiture of any accrued commissions associated with any violation of these guidelines that would otherwise be payable to You.
